By accessing or using Viralin's website, platform, and services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our Services. If you are using our Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Viralin provides AI-powered UGC (user-generated content) creative production and testing services for performance marketing teams. Our Services include AI-generated video content, creative strategy, and related tools and deliverables as described in your selected plan.

To access certain features, you may need to create an account. You are responsible for: •Maintaining the confidentiality of your account credentials •All activities that occur under your account •Providing accurate and complete registration information •Notifying us immediately of any unauthorized use of your account We reserve the right to suspend or terminate accounts that violate these Terms.

Plans. Our Services are offered through subscription plans as described on our pricing page. All plans are billed monthly unless otherwise agreed. Payment. You agree to pay all fees associated with your selected plan. Payments are processed through Stripe. You authorize us to charge your payment method on a recurring basis. Cancellation. You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds are provided for partial billing periods. Price Changes. We reserve the right to change our pricing. We will provide at least 30 days' notice of any price increase.

Our IP. Viralin and its licensors retain all rights, title, and interest in the Services, including all software, technology, designs, and documentation. You may not copy, modify, distribute, or reverse engineer any part of our Services. Your Content. You retain ownership of content you provide to us (brand assets, scripts, direction). By providing content, you grant us a license to use it solely for the purpose of delivering our Services. Deliverables. Upon full payment, you receive a perpetual, non-exclusive, worldwide license to use the AI-generated creative deliverables for advertising and marketing purposes. You may not resell deliverables as a standalone product or service.

You acknowledge that our Services use artificial intelligence to generate content. While we strive for quality: •AI-generated content may require review before publication •We do not guarantee that AI-generated content will be free from errors or inaccuracies •You are responsible for reviewing and approving all content before use in advertising •We recommend compliance review for regulated industries •AI-generated spokespersons are synthetic and should not be represented as real individuals in contexts where disclosure is required

You agree not to use our Services to: •Create content that is illegal, harmful, threatening, abusive, or defamatory •Infringe on intellectual property rights of third parties •Generate misleading claims about products or services •Create deepfakes or impersonate real individuals without consent •Violate advertising regulations or platform policies •Engage in activities that could harm minors •Attempt to reverse-engineer our AI models or technology

To the maximum extent permitted by law, Viralin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of our Services. Our total liability for any claim arising out of or relating to these Terms or our Services shall not exceed the amount you paid us in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless Viralin, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
